1. Who these Terms are between
These Terms are between you and Vintexity, a company based in Bengaluru, India ("Vintexity", "we", "us", or "our"). They govern your use of our website at vintexity.com (the "Site").
Vintexity is currently in a pre-launch waitlist phase. The Site allows you to sign up to be notified when our service becomes available. These Terms cover that waitlist phase only. When we launch the full Vintexity product, we will issue an expanded set of Terms covering the product itself, and we will ask you to review and accept those before using it.
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy.
2. Definitions
Throughout these Terms:
• "Site" means vintexity.com.
• "Service" means the Site and any current or future Vintexity products.
• "Waitlist" means the pre-launch signup list maintained on the Site.
• "You" means the individual or entity using the Site.
• "Content" means any text or data you submit through the Site, which during the waitlist phase is limited to your name, email, phone, and anything you write to us by email.
3. Eligibility
To use the Site and join the Waitlist, you confirm that you:
• Are at least 18 years old;
• Have the legal capacity to enter into a binding contract under the laws of your country;
• Are not a resident of, or located in, any country subject to a comprehensive embargo by India, the United Nations, the United States, or the European Union;
• Are not listed on any sanctions or restricted-parties list maintained by any of the above.
If you are signing up on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. What the Waitlist is and isn't
The Waitlist is a free notification list. By joining:
• You give us permission to email or call you about Vintexity's launch and major updates;
• You do not purchase, receive, or become entitled to any Vintexity product or service;
• We make no commitment about when (or whether) Vintexity will launch, what features it will include, or what it will cost;
• We may change, delay, or cancel our launch plans at any time without liability to you.
If we launch a paid product, joining the Waitlist does not give you a right to access it for free, at a discount, or before anyone else, unless we separately offer that to you in writing.
5. Your obligations
When using the Site, you agree:
• To provide accurate, current, and complete information when joining the Waitlist, and to update it if it changes;
• Not to sign up using someone else's identity, a fake name, or a contact method that does not belong to you;
• Not to use the Site for any unlawful purpose;
• Not to attempt to disrupt, hack, reverse engineer, scrape (beyond ordinary search-engine indexing), overload, or otherwise interfere with the Site;
• Not to send us abusive, threatening, harassing, defamatory, obscene, or otherwise unlawful communications;
• Not to attempt to access another user's data or to bypass our access controls.
We may suspend or remove you from the Waitlist at any time, with or without notice, if we reasonably believe you have breached these Terms.
6. Intellectual property
The Site, the Vintexity name, the Vintexity logo, and all original content, features, and functionality (excluding the personal information you provide) are owned by Vintexity and protected by intellectual property laws in India and other countries.
You may not copy, modify, distribute, sell, or lease any part of the Site, nor use our trademarks or trade dress, without our prior written permission.
You retain ownership of the personal information you provide. By joining the Waitlist, you grant us a limited, non-exclusive licence to use that information solely as described in our Privacy Policy.
7. Feedback
If you send us suggestions, ideas, bug reports, or other feedback about Vintexity ("Feedback"):
• We are free to use that Feedback for any lawful purpose without obligation to you (no payment, no credit, no notice);
• You assign to us any rights you may have in the Feedback to the extent needed for us to use it;
• Feedback is not confidential unless we expressly agree in writing that it is.
8. Third-party links and services
The Site may contain links to third-party websites. We do not control those sites and are not responsible for their content, privacy practices, or availability. Following a link is at your own risk; the third party's terms and policies apply, not ours.
9. Disclaimer of warranties
The Site is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including (but not limited to) the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:
• The Site will be uninterrupted, error-free, or secure;
• Any defects will be corrected;
• The Site is free of viruses or other harmful components;
• Any information on the Site is accurate, complete, or current;
• The Vintexity service will launch, or will meet your expectations if it does.
Some jurisdictions do not allow certain warranty exclusions. Where that is the case, the exclusions in this section apply to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, in no event will Vintexity (or its directors, employees, agents, suppliers, or affiliates) be liable to you for any:
• Indirect, incidental, special, consequential, exemplary, or punitive damages;
• Loss of profits, revenue, business, goodwill, data, or use;
• Damages arising from your inability to access or use the Site,
… even if we have been advised of the possibility of such damages.
Our total aggregate liability to you under or in connection with these Terms or your use of the Site, for any cause of action and across all claims combined, is capped at INR 1,000 (Indian Rupees one thousand).
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited — for example, liability for gross negligence, fraud, wilful misconduct, or death or personal injury caused by our negligence, where applicable law disallows the exclusion.
11. Indemnification
You agree to defend, indemnify, and hold harmless Vintexity, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including reasonable legal fees) arising out of or related to:
• Your breach of these Terms;
• Your violation of any law or third-party right in connection with your use of the Site;
• Information you submit that is inaccurate, misleading, or does not belong to you.
12. Termination
You may stop using the Site or leave the Waitlist at any time — just email us at help@vintexity.com asking to be removed, and we will action your request as described in our Privacy Policy.
We may suspend or terminate your access to the Site, or remove you from the Waitlist, at any time, with or without cause and with or without notice, including (without limitation) for breach of these Terms or if we decide to discontinue the Waitlist.
Sections that by their nature should survive termination — including intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.
13. Governing law
These Terms and any dispute arising out of or in connection with them are governed by the laws of India, without regard to its conflict-of-law principles.
14. Dispute resolution
If you have a dispute or concern about the Site or these Terms, please contact us first at help@vintexity.com. We will try in good faith to resolve the matter informally, and we ask you to do the same, for at least 30 days before initiating formal proceedings.
If the dispute is not resolved informally, the courts located in Bengaluru, Karnataka, India have exclusive jurisdiction, and you and Vintexity agree to submit to that jurisdiction.
Nothing in this section deprives you of any mandatory consumer-protection rights you may have under the law of the country where you live.
15. Severability and waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Our failure to enforce any right or provision under these Terms does not waive that right or provision, or any other right or provision.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will:
• Change the "Last updated" date at the top of these Terms; • Post the new version at vintexity.com;
• For material changes, give you at least 30 days' notice by email (using the address you gave us at signup) before the new Terms take effect.
What is "material" is determined by our reasonable judgement. If you do not agree to the revised Terms, your remedy is to stop using the Site and request removal from the Waitlist.
17. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vintexity regarding the Site and supersede any prior agreements or understandings on the same subject.
18. A note about launch
When Vintexity moves from waitlist to full product launch, we will publish a substantially expanded version of these Terms covering, among other things:
• Your account, password, and security obligations;
• Your prompts and conversations with third-party AI models (such as Gemini, ChatGPT, and Claude);
• How those third-party AI providers' terms apply alongside ours;
• User-generated content, group chats, and content moderation;
• Copyright complaints (including DMCA-style procedures for international users);
• Paid plans, billing, refunds, and cancellation;
• Acceptable use specific to AI interactions.
These Terms govern only the waitlist phase. Before you can use the Vintexity service after launch, we will give you the opportunity to review and accept the launch Terms.
